1. Acceptance of terms
These Terms of Service ("Terms") are a legal agreement between you and Xethra LLC, a Montana limited liability company (1001 S Main St Ste 600, Kalispell, MT 59901, USA), operating the iZop AI service ("we," "us," "iZop AI," or "Service"). By accessing or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 16 years old to use the Service. By agreeing to these Terms you represent that you meet this requirement. If you use the Service on behalf of a business or agency, you represent that you have authority to bind that entity to these Terms.
Updates to these Terms. We may update these Terms at any time. For material changes, we will provide at least 30 days' advance notice to existing users by email or prominent in-product notice before the change takes effect. For non-material changes (corrections, clarifications, new feature descriptions), we will update the "Last updated" date on this page. Continued use of the Service after the effective date of any change constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
2. Description of service
iZop AI provides a platform that allows you to:
- Connect social media accounts (Instagram, YouTube, TikTok, Facebook, X/Twitter, LinkedIn, Threads, Pinterest) via each platform's official OAuth authorization.
- Schedule and publish posts (captions, media, hashtags) to one or more connected accounts from a unified calendar and composer.
- View analytics (views, likes, comments, followers, subscribers) from your connected accounts in one dashboard.
- Use a unified inbox to view and reply to direct messages and conversations.
- Use a hashtag pool to save and reuse hashtag sets, and an AI Assistant to set brand context and receive AI-suggested captions, reply drafts, and content ideas.
- Manage multiple Brands (client social accounts) where applicable to your subscription plan.
- Apply white-label options (your logo and colors) where offered.
We do not guarantee uninterrupted availability. We may modify, suspend, or discontinue features with reasonable notice where practicable. The Service is provided "as is" subject to the disclaimers in Section 10.
3. Your obligations and prohibited conduct
You must use the Service in compliance with these Terms and each platform's terms and policies (Meta, TikTok, Google, X, LinkedIn, and others). You are responsible for your account credentials, all content you publish, and ensuring your use does not violate any applicable law or third-party rights.
If you use iZop AI as a marketing agency or social media manager to manage accounts on behalf of clients ("Brands"), you are responsible for ensuring you have appropriate authorization from each Brand and that your use of their data complies with applicable law. Our Data Processing Agreement governs your role as Data Controller for Brand data.
You agree not to:
- Use the Service for any illegal purpose or in violation of any local, state, national, or international law.
- Post, transmit, or facilitate spam, unsolicited messages, deceptive content, or content that impersonates any person or entity.
- Use the Service to harass, threaten, bully, defame, stalk, or otherwise harm any person or group.
- Upload or distribute viruses, malware, or any code designed to damage or interfere with the Service or any connected systems.
- Attempt to gain unauthorized access to any part of the Service, another user's account, or any third-party system connected to the Service.
- Scrape, crawl, or systematically extract data from the Service using automated tools not provided or authorized by us.
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service.
- Circumvent any platform's API rate limits, terms, or restrictions through the Service.
- Use the Service to collect personal information about other users without their consent.
- Resell or sublicense access to the Service without our express written permission.
- Take any action that imposes an unreasonable or disproportionate load on the Service's infrastructure.
- Post content that is hateful, discriminatory, sexually explicit, violent, or that promotes or incites harm against any individual or group based on race, ethnicity, gender, religion, sexual orientation, disability, or other protected characteristic.
We reserve the right to suspend or terminate accounts that violate these obligations, and to report illegal activity to relevant authorities.
4. Child safety
iZop AI is committed to maintaining a safe environment for all users. We strictly prohibit any use of the Service for activities related to child sexual abuse and exploitation (CSAE), including sharing, promoting, or facilitating such content or behavior in any form. Users found to be in violation of this policy will face immediate account termination and will be reported to relevant law enforcement authorities.
If you become aware of any content or behavior on the Service that violates child safety standards, please report it immediately to support@izop.ai.
5. AI-generated content
The Service includes optional AI-assisted features (post captions, inbox and comment reply drafts, Planner ideas, reel analysis) powered by OpenAI's API. You acknowledge and agree that:
- AI-generated content is produced by a third-party model (OpenAI) and may be inaccurate, incomplete, or not suitable for your specific context or audience.
- You are solely responsible for reviewing, editing, and approving all AI-generated content before publishing or sending it. We are not responsible for the accuracy, appropriateness, or legal compliance of any AI output.
- AI-generated content constitutes your content once you publish it. It must comply with all applicable laws, platform terms, and advertising standards.
- Your use of AI features is also subject to OpenAI's terms of service and privacy policy.
- We do not guarantee that AI features will always be available. AI output quality may vary.
6. Quotas, fair use, and third-party limits
Certain features (including scheduled publishing, inbox replies, and background sync jobs) rely on automated calls to third-party platforms and are subject to technical limits on each run or request cycle. Without limitation, limits may include: how many posts or accounts we process per run; how deeply we paginate comments or search results; intentional delays between API requests; and maximum execution time for serverless or background jobs. These limits protect service stability, reduce abuse risk, and help comply with platform rate and usage expectations.
No service level for integrations. We do not warrant uninterrupted delivery, error-free publishing, minimum throughput, or that third-party APIs (Meta, X, or others) will remain available or unchanged. Failures may appear only in logs or administrative responses rather than in-product notifications.
Fair use and enforcement. Even when within technical quotas, we may delay, rate-limit, queue, or suspend features (or your account) if we reasonably believe your use risks violating law or platform policies, degrades the Service for others, or is abusive, deceptive, or excessive.
Third-party precedence. Where a platform's rules conflict with your desired behavior, the platform's rules control. You must not use the Service to circumvent platform restrictions.
7. Content and intellectual property
Your content. You retain ownership of content you create and post. By using the Service you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and process your content solely as necessary to provide and operate the Service (for example, sending your posts to the platforms you connect, storing media for scheduling, and displaying analytics data to you). This license ends when you delete your content or close your account.
Your representations. By submitting content through the Service, you represent and warrant that you own or have the necessary rights to that content, and that your content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party.
Our intellectual property. The Service's name, logo, design, code, and all related materials are the intellectual property of Xethra LLC and are protected by applicable law. You may not copy, reproduce, modify, reverse-engineer, create derivative works from, or commercially exploit any part of the Service except as expressly permitted by these Terms.
Feedback. If you provide us feedback or suggestions about the Service, you grant us the right to use that feedback without restriction or obligation to you.
8. Copyright and DMCA
We respect intellectual property rights and expect users to do the same. If you believe that content available through the Service infringes a copyright you own or control, please send a written notice of claimed infringement to:

Your notice must include: (a) a description of the copyrighted work claimed to be infringed; (b) identification of the infringing material and its location on the Service; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.
We will respond to valid DMCA notices and may terminate accounts of repeat infringers.
9. Payment and cancellation
Paid plans are billed as described on the pricing page (monthly or yearly subscription). Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel at any time via your account settings; access continues until the end of the current billing period. We do not provide refunds for partial periods.
We may change pricing with at least 30 days' advance notice to active subscribers. If you do not agree to a price change, you may cancel before it takes effect. You are responsible for any applicable taxes. Accounts with unpaid balances may be suspended or terminated.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, XETHRA LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be error-free, uninterrupted, or that integrations with third-party platforms (Meta, TikTok, Google, X, LinkedIn, and others) will always be available or function as expected. Your use of the Service and any reliance on analytics, platform features, or AI-generated content is at your own risk.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, XETHRA LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, REVENUE, GOODWILL, OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for all claims arising from or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) US $100.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you to the extent prohibited by applicable law.
12. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Xethra LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or publicity right; (d) any content you post or transmit through the Service; or (e) your violation of any applicable law or regulation.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that claim.
13. Termination
We may suspend or terminate your access if you breach these Terms, if required by law, or for other legitimate operational or legal reasons, with or without notice. You may stop using the Service and delete your account at any time via Settings or by contacting support@izop.ai. If your account is terminated for breach of these Terms, you may not create a new account without our prior written consent.
Effect of termination. Upon termination: (a) your right to use the Service ends immediately; (b) you remain responsible for any outstanding payment obligations; and (c) you should retain copies of any content you have posted, as you may lose access to it.
Survival. The following sections survive termination of these Terms: Section 7 (Content and intellectual property), Section 8 (Copyright and DMCA), Section 10 (Disclaimer of warranties), Section 11 (Limitation of liability), Section 12 (Indemnification), Section 14 (Governing law and disputes), and Section 15 (Data processing).
14. Governing law and disputes
These Terms are governed by the laws of the State of Montana, USA, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service that cannot first be resolved informally through good-faith negotiation shall be submitted to binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, with proceedings conducted in Kalispell, Montana or remotely by mutual agreement. You and Xethra LLC each waive the right to a jury trial and to participate in any class action or representative proceeding. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
Arbitration opt-out. You may opt out of the binding arbitration provision above by sending written notice to legal@izop.ai or to Xethra LLC, 1001 S Main St Ste 600, Kalispell, MT 59901, USA within 30 days of first agreeing to these Terms. Your opt-out notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Flathead County, Montana, and you and we each consent to personal jurisdiction in those courts.
For users in the EEA, UK, or Switzerland, nothing in these Terms removes your right to bring claims before your local courts or data protection supervisory authority for GDPR-related matters.
15. Data processing
Our Privacy Policy describes how we collect and use your personal data. If you use iZop AI to manage Brand accounts on behalf of clients, our Data Processing Agreement (DPA) is incorporated into these Terms and governs the processing of Brand data. You may download and self-sign the DPA at any time from the DPA page.
16. General
Entire agreement. These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Xethra LLC regarding your use of the Service and supersede any prior agreements.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you.
Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.
No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
Electronic communications. By using the Service, you consent to receiving electronic communications from us, including emails about your account, the Service, and updates to these Terms. These communications satisfy any legal requirement that notices be in writing.
